Ron Lipham bought a minority stake in the Company in the late 1980s. Through the 1990s, the company capitalized on shifting industry dynamics and was able to grow to more than 200 employees and attain revenue growth of nearly 30 percent per year.

When CCG was initially engaged by UCI in 1996, an exit strategy was deemed to be several years in the future. In 1999, industry dynamics began to shift even more decisively as the pace of deregulation quickened. UCI was approached by several roll up organizations, one viewing UCI as a potential platform company of a highly respected national telecom and utility engineering firm. Further, large institutional investors were now seriously involved in the industry, which represented a monumental shift in the type and strength of the usual buyers. It was agreed that with industry change and the consolidation fueled by the capital markets, this was the “best time” to leverage UCI's value. Irvin and Ron decided that if the “right buyer” were willing to pay the “right price,” they were interested in pursuing a merger or sale.

CCG developed and ran a process that spanned nearly one year and included public, pre-public and large private suitors. Ultimately, UCI became the engineering platform for a pre-public consolidator. After considering numerous deal structures, the owners were able to sell the company in a 100 percent cash transaction and subsequently reinvested a portion of the proceeds in the stock of the company.
